Job Summary
This is a senior level position that provides advice to the company and helps resolve legal matters with limited supervision, in order to minimize risk and ensure company compliance with the law. This position focuses on commercial negotiation, including drafting and reviewing master service agreements, scopes of work, confidentiality agreements, and IT agreements and supporting business units operationally.
Job Duties & Responsibilities
- Partner with business units to understand operational needs and provide practical legal guidance on commercial transactions
- Draft, review, and negotiate commercial contracts, including master service agreements, scopes of work, confidentiality agreements, and IT agreements
- Advise on compliance matters, including regulatory requirements and company policies
- Provide legal support to Human Resources on employment-related matters
- Provide legal support to Health, Safety, Environmental, and Regulatory (HSER) teams on related matters
- Coordinate and oversee outside counsel
- Mentor less experienced attorneys and provide guidance and supervision to them with regards to cases, procedures, and department practices
Job Specific Skills
- Advanced knowledge of phases within oil and gas exploration and production operations
- Advanced knowledge of laws, rules and regulations that apply to an assigned subject matter area, as well as industry practices and customs
- Advanced knowledge of oil and gas contracts and related agreements
- Advanced knowledge of contractual risk mitigation measures common in oil and gas contracts
- Ability to analyze and negotiate complex commercial terms and conditions
- Strong written and verbal communication skills, with the ability to draft clear, precise contract language
- Experience drafting, reviewing, and negotiating master service agreements, scopes of work, confidentiality agreements, and IT agreements
- Strong attention to detail and ability to identify and address contractual risks
- Ability to work collaboratively with business stakeholders to understand commercial objectives and translate them into contractual terms
Education
- Minimum: Juris Doctor (J.D.) degree from accredited university
Experience
Minimum: 5 years related work experience
