Job Summary
This senior-level position supports the business by serving as a strategic legal advisor on corporate transactions, securities law, and governance matters. The role is responsible for drafting and reviewing complex transactional documents, providing client counseling to senior leadership, and conducting regulatory, legislative, and securities-related analysis to support the company’s strategic objectives. The attorney will work closely with executive leadership and cross-functional teams on mergers and acquisitions, capital markets and debt finance activities, joint ventures, and ongoing securities compliance obligations within the energy industry.
Job Duties & Responsibilities
- Drafts, reviews, and negotiates a broad range of corporate and transactional documents, including merger and acquisition agreements, asset purchase and sale agreements, joint venture and strategic partnership agreements, financing documents, and related ancillary agreements
- Prepares and reviews securities-related filings and disclosures, including periodic reports, transaction-related filings, and other public communications, ensuring compliance with applicable securities laws and regulations
- Provides legal advice and counsel to senior leadership and internal business clients on corporate governance and executive compensation matters, securities law compliance, disclosure obligations, and transactional risk
- Participates in complex corporate transactions, including working with management to develop transaction structures, risk mitigation strategies, and proactive approaches to legal and regulatory issues
- Conducts legal research and analysis on complex corporate, securities, and regulatory matters; develops clear oral and written advice and presents practical recommendations to management
- Advises on regulatory and legislative developments affecting corporate transactions and securities compliance within the energy sector
- Oversees corporate entity management and qualification
- Handles assigned matters and subject areas with a high degree of independence, sound judgment, quality, responsiveness, and strategic focus
- Manages external counsel as needed, including overseeing budgets, scope of work, and quality of deliverables
- Mentors and develops less experienced legal staff and may supervise administrative or legal support staff on a regular or assignment-specific basis
- Interacts directly with members of the executive leadership team and Board on significant legal and strategic matters
- Performs other duties as assigned
Job Specific Skills
- Advanced knowledge of corporate transactions, including mergers and acquisitions, divestitures, joint ventures, financings, and other strategic transactions, preferably within the energy industry
- Advanced knowledge of U.S. securities laws and regulations, including public company disclosure and reporting obligations, transactions implicating securities laws, and corporate governance requirements
- Working knowledge of oil and gas or energy-related contracts and commercial arrangements, with the ability to integrate transactional and securities considerations
- Advanced understanding of regulatory frameworks and industry practices applicable to the energy sector
- Strong ability to identify and implement contractual and structural risk mitigation strategies in complex transactions
- Ability to manage multiple competing deadlines and priorities in a fast-paced environment
- Strong interpersonal skills with the ability to communicate effectively and tactfully with internal and external stakeholders at all organizational levels, including senior executives
- Demonstrated ability to exercise independent judgment and provide practical, business-oriented legal advice
- Licensed to practice law and eligible to practice in the assigned geographic area or with the ability to obtain admission as required
Education
Minimum: Juris Doctor (J.D.) degree from an accredited law school
Minimum: Active license to practice law in at least one U.S. jurisdiction, with the ability to practice in the assigned geographic area (or eligibility for admission)
Experience
Minimum: 8 years of related legal experience in corporate transactions and securities law
Preferred: Prior experience in a law firm (corporate/M&A, capital markets, or securities practice) and/or in-house legal department
Preferred: Prior experience in the energy, oil and gas, or related industrial sector strongly preferred
